How to windup the company when 1 director denies

We started the company last july with three directors and we did no transaction in the past year neither filed any document except for registering ourselves as a pvt. Ltd. Company. Now 2 of us have got jobs and we wanted to wind up the company so that our background check for the new company won't be a problem. But this third director is now holding the company ransom and he doesn't agree to shutting down the company. How it can be resolved ?
