No increment given from past 5 years of service - what can be done

Ours is a Co-op. consumer society with one shop which is sold due to losses and now we office bearers want to close down activity.We have 3 staff members who are now offered gratuity and some arrears of increment not given for last 5 years. How do we settle? What letter should we give them? what is the settlement clause to be included?

Dear Sir,

You need to understand that gratuity and increments are the rights of the workers. you need to inform them that you are not in a position to pay them at the moment. you can even give this in writing to them and seek time to pay them their dues and they should not initiate any legal process against you.
