Cheque bounce due non fulfillment of criteria and not signing the agre

We as a society had taken up a franchisee of a School in March 2020 and agreed to pay 10 lakhs for 3 years and issued post dated cheques. nBut due to Covid the agreement was not signed and also we couldnt open the school.Now the Franchisee has deposited the cheques inpite of informing them about about our inability . nAre we liable now for criminal offence now. nCan the franchisee initiate criminal case against us without the agreement being signed and executed? Please advice.r and threat
well firstly the contract is not signed and hence unenforceable in court. secondly since you provided the security cheque they have the right to deposit. rest are matter of facts and if the school has not invested any money in setting up the franchise you are not under any obligation. the security cheque is for non performance or part performance of your contract. but here there is no contract
