film distribution contract in U.S.A - cancellation required

13-Mar-2023 (In Documentation Law)
I reside in India and I was approached by a media distribution company based in Miami in September, through a film festival in Nigeria. I signed and sent them the contract in December 2018. I received no confirmation or any other information from them until this week. This time they asked me for the required deliverables and sent me a new contract dated 2019, with minor changes. My question is, if I have not received a signed copy of the contract dated 2018 from them up until now, can I bow out of the contract with any hassle? The contract does mention that it is not binding upon either Party until a copy of this Agreement has been executed by each Party and has been delivered to the other Party.

Dear client,
You sent the signed agreement paper to Nigeria concerned whereas you didi not received any signed copy of the same contract paper in 2018 , rather you have received a new one for the same in 2019, may be little bit change in clauses however.
Now you want to abort and not to go with this contract even earlier.
This is ok in your respect, they failed to execute the earlier contract as you did not received from there side .
Now a fresh contract has been sent to sign , hence if you do not want to continue, then you are free to go out and there will be no legal problem.
If you need any legal advice and guidance for corporate .media documentation or review of agreement, POA Letter of Intent, Non disclosure Agreement, etc.
you may contact for online service by taking my contact and e.ail no. from this platform.
Thanks

Query perused. We would like to peruse the contents of the contract signed and sent across by you to the other party to the contract in Miami. Would have to see the applicable governing laws to enable us to give you our considered opinion. For further consultancy and legal services you may contact us.
