assignment of trademark to an LLP
09-Apr-2023 (In Trademark & Copyright Law)
hi I own a trademark in my name, now I wish to assign that to a proposed LLP where iam going to be a partner and also the second partner of LLP is paying me a consideration for this assignment, is it possible and what would be the legal and tax implications for the same
In case if you are a owner of TM you can very well assign the Mark to the proposed LLP for mutually decided consideration which the proposed LLP may pay to you. As you are going to be one of the partner of the LLP, you will sharing the rights vested in the registered TM with other partener (s). For the same the other partner or partners shall pay you the consideration. Stamp Duty charges will be 3% on the consideration and normal taxation rule will apply for the capital gains.
