Notice recieved for recovery of money

A friend of mine gave me rupees one lakh after he was benefitted by my idea and services as agreed for payment earlier. Now after a year we separted on our works to different locations. He send me a legal notice stating that I have taken it as a debt and must return within 15 days of notice of the lawyer.
take immediate steps to send reply to notice through lawyer failing which it will be deemed you admit the contents. is there any written agreement, if not, he is relying on amount remitted, what mode u received amount from him? consult us to prepare reply.

you have not mentioned whether u gave a cheque or promissory note for the amount alleged to be paid to him....if u executed any document then u have to reply the legal notice in detail.
anyway replying the notice is not compulsory but it is advisable
