CHS Managing Committee Transferred Shares without registered deed

Hello, Our previous managing committee has transferred shares to a member's son on the basis of an unregistered release deed. Can the current managing committee revoke the transfer as it was illegal?

sir/madam we appreciate your time and question. if there was an action taken by the previous committee which the present committee is of the opinion that it is legal or illegal then. A simple notice should be sent to the member stating the change of committee and the change in the view of the committee. Giving reason that if there is any dispute then the names of the present committee members must not be dragged. we would be happy to discuss with you for further details and information.

Yes, if the shares are transferred and an individual is made a shareholder without procedure prescribed under relevant statute. The board of directors if authorised by AOA or Bye laws of the entity may declare the transfer null and void. otherwise may set in motion internal audit and take appropriate measures in the best interest of company.
