Director Escapes with Company's Website and Trademark

A private limited compnay with 3 directors.
One day other 2 realsied about some unprofeesion bahviour from 1st one .
All of suddent tried to check trademark to apply bahlf of compnay so the 1st one already applied on his personal name .
also in AGM meeting he denied to have website credentials where he updated his personal number .
(bad luck was he purchased that domain but claimed that amount to company and get paid. )
We are fighting against him but no success , please guide.
Well, you can file a case against that Director who indulged in causing wrongful losses to the company by securing wrongful gains for himself. Other Directors being Members of the Company along with any other Member can file a case before the Tribunal under Sec 244 of the Companies Act for Oppression and Mismanagement of the Company Affairs before the NCLT.
