What to do if there is breach of contract by a client

24-Jun-2023 (In Corporate Law)
Do I ignore and move on if a client has breached contract terms and pulled out of partnership without the 2 months agreed termination clause.

Dear Sir,

Before we attempt to provide a definite answer to your question, it is very important that we look into the clauses of the agreement and what the terms of the agreement stipulates/ in the event if there is a breach of contract by the client due to which you would have suffered financial loss, then the client will have to indemnify the said loss.

Absolutely not. The first step would be to issue a legal notice to the client calling upon him to comply with the Agreement or comply with the conditions for termination such as the 2-months notice/ compensation in terms of money. If he does not do so, then you can file an Original Suit for specific performance of the agreement, which also includes him exiting as per the agreement. The legal notice should be very carefully worded to get the optimum result.

If the interest is regarding maintaining the relationship between parties then it could be done.

However, a termination clause with time periods are specifically included in the contract so as to ensure that the company faces minimal residual effects from the termination of an agreement.
