What if a contract is shared in bad faith by the vendor?

14-Oct-2023 (In Corporate Law)
I have recently started working as a Procurement professional in one of the top firms. I have this fear of contracts sent in bad faith. To explain it further and precisely. What if a supplier sends in a contract with M&A clause in it. What if it has a acquisition clause and it gets signed by one of our executives?

While I may not be able to opine anything in absence of the contract. From what you say might be a genuine foul play from Supplier & your company executives OR it may have some other, however unlikely, explanations. In any case it is difficult to say anything in absence of contract and knowing circumstances surrounding it. I suggest you talk to superiors, the executives and concerned persons to know the explanation.

What position, the one who signed on that Document having M & A Clause holds in that firm is a pivotal question, based on which, I can aswer the question of your query. What responsibilities that employee was holding is another pivotal question based on which, answer of your legal query can be given.
