Resignation from Company Directorship
10-Jan-2023 (In Corporate Law)
I am one of the two directors in a private limited company. The other director is the wife of the MD of a family owned company that holds 100% share in my company. I want to resign from the directorship due to health reasons. I have submitted my resignation 6 months back by writing to the other director with copy to the MD of the holding company. But no action is being taken. what should I do?
You can stop/cease from engaging in the affairs of the Complaint as a Director & as such, by default, they will accept your resignation or terminate your services. Before doing such thing, ask by meeting the other Director of your Co and the holding Managing Director of other company which has got stake in your company that 'Why they are doing this?/! Because it is their duty to submit your resignation on the grounds of health considering your fundamental-right 'Right to Life' under Article 21 of the Indian Constitution. Because tolerating with the burden of work will be detrimental to your health and mental condition. This is what you have to convince to your employer.
