Other alternatives instead of POA for voting rights in foreign company

18-Jan-2023 (In Corporate Law)
Hi, I have a question regarding General meeting. I stay in India and I am partner in Company in Netherlands. My partner is asking me to send him POA to exercise my shareholder rights(eg. voting etc) in General Meeting. He is asking this because I cannot travel to the Netherlands right now for the meeting and the voting can be done in person only as the identity over the phone cannot be legalized. Is this true? I am little reluctant in giving my voting rights, what are my options here? Can I somehow join via phone with a Notary legalizing proof of my identity?

Yes you can join thorough a video conference or phone or even you can send a notarised document telling your vote on the respective agenda (notarised document would be the best option) , you will have to request the board to arrange that for you.

Hello there, in case a person is not able to act personally he/ she can act through his agent but in your matter you have to cast the vote and as per the New amendment 2015 in condition of remote share holder he can cast his vote via electronic vote/ video calling and if you get approval you can send your opinion by email also.
