Company failed to file return with ROC what can be done

One of my friend had incorporated a pvt ltd which remained non functiong at all.now court has sent notice and want to punish its directors because company has failed to file returns with ROC.please suggest a fair solutions Thanks
The court cannot punish it can only put the fine and the notice must be for striking off the company. The ROC must have send the notice first and if no response is given then the petition goes before court to decide.
