Appointment of Authorized Signatory

Hi All, Need help on the procedure to appoint authorized signatory for my start-up . Who can become authorized signatory currently we have 2 directors . And we don't have time to time to appoint MD or company secretary. Thanks Ravi Rathore

Dear Ravi,

Since your is a start up it will come in the ambit of Pvt Ltd Co.
Pvt Co having share capital of more than Rs 5 crore need to appoint whole time Company Secretary i.e mandatory Provision.

IN Pvt Ltd minimum 2 directors are required to incorporate the Co. and therefore any one of the two directors can be the authorized signatory for the Company by way of an board resolution of the Company.

Any one among you can become the authorized signatory being the directors of the company which you have to decide. Whoever who is holding more share can take the responsibility . If you have registered your company which might be public/private/partnership all the rules and regulations will be mentioned there . Contact your advocate
