sir i want to form an e commerce website for street vendors on which they will perform the task of delivery of street food in their area. i dont want to form a company i just want to make agreement with them and they r required to pay 400 rupees each for their fssai registration and app development , my question is, if i get money from them in my saving bank a/c amt will be approx 80 lacs so is there any legal object to get funds from these people in my a/c ? i m workingjustlikefoodpanda for street vendors so do i also require any license and procedure of online registration of street vendor

You cannot raise any capital through your model, as of now because you have not registered your company or have not obtain any legal status. Raising capital without forming any company leads to criminal offence and violation of companies act 2013 (amended) . Also you need to understand you will be more in trouble if you raised this money in your name, a proprietorship has more legal lability, which we called unlimited liability. We suggest you acquire a legal status of your company also because your work fall under startup, which means you can get tax exemption for next three years, which is proposed to seven years. But you need to consult a startup lawyer to check which legal status can qualify for startup companies.There is also upper and lower limit for raising capital.

Hi,

Going through your Idea it will be better if you go for Sole Proprietorship Firm there every thing will be in your name and there won't be any limit as to fund remittance. Also, there is no such concept of street vendors in the food and beverage, you need to go through same formalities which a normal vendor require to go through the registration proceeding, if you donot want the process of registration you need to inculcate such terms in the agreements of the street food vendors.

Your business model is interesting and requires a corporate structuring before actual initialization of the project. Since you shall be dealing in food industry as well as online industry you will be required to take several licenses and registrations. Having said that, it would be better if we cold meet and take things forward.
