How do I approach if one of our partner trying to cheat us

Dear Team, We had formed a private limited company by 4 of us 6 months ago. Due to some conflict of interest we are unable proceed with one of our partner. He voluntarily want to exit from our association but he had taken the company product source code along with him. Without that we are now in standstill situation, unable to move forward. Please suggest how do we handle this.
You can pass a special resolution by arranging for a board of directors meeting in which you can dismiss the partner from your company.
