Holdback of school leaving certificate by International school

We moved our son's school from an International School to ICSE, the int school has a policy that we need to inform them by Feb 28th regarding the SCL. We were delayed by the new school and were able to secure the admission on 11th March. We informed the int school about the same on 12th and they are asking us to pay a sum of approx 1Lakh for the 1st term.
Iv read newspaper clippings that the school isn't allowed to hold back the certificate, can someone help me with orders?
