    What is Deed Of Guarantee?

    A Deed of Guarantee is a document where one person agrees to be responsible for someone else’s mortgage obligations if that person fails to carry out their own obligations. It is usually used when a lender has reservations about the ability of a borrower to repay mortgage instalments and requires another, usually more financially secure person, to guarantee the loan.

    Why is Deed Of Guarantee required?

    When loaning money to a company, especially a new company, it is common for the bank providing the facility to require a personal guarantee from the directors of the company. The reason for this is simple, the bank wants to reduce risk of the loan not being repaid by making the directors or shareholders personally liable to repay the guaranteed obligations on demand.

    Along with the personal guarantees (also called 'PGs') the bank may also require an indemnity and the obligations of this are considerable. As the parties guaranteeing the loan are a separate legal entity to the company, the bank require them to obtain separate independent legal advice on the nature and effect of the guarantee deed.

    What should a Deed Of Guarantee cover?

    A deed of guarantee should cover the guarantee that is being given by the guarantor. The details of the agreement over which such guarantee is being promised. The details of the guarantor and the person or organization asking for such guarantee. The details of the person or organization for whom guarantee is being given. The condition upon which the guarantee stands and indemnification (if any) to be provided by the guarantor.

    Documents Required for Deed Of Guarantee

    No specific documents are required in order to draft and execute a deed of guarantee. However, ID proofs of the parties in order to confirm the names and permanent addresses of the parties should be scrutinised. Documents evidencing the clear title of the executor to provide such guarantee could also be examined.

    Procedure for Deed Of Guarantee

    In order to properly execute a deed of guarantee, it must be signed by the guarantor in the presence of a witness. That witness must also sign the document. The guarantor must be provided with a copy of the main agreement (attach it to the deed) in order that they are aware of the liabilities that they are covering.
