Partnership Deed- Changing structure for fund from Capital to Loan

16-Apr-2026 (In Corporate Law)
I executed a standard partnership deed in 2020 with 2 other partners to estabilish a manufacturing plant. I am the sleeping partner- dont engage in daily ops. The Deed mentions 33-33-34 for each of us. Now my investment is 52% while others is 18% and 30%. I want to restructure my excess amount to Partner loan. can i use my majority stake holder status for this

Majority capital (52%) does not grant unilateral rights in a partnership. Conversion of excess capital into a partner’s loan requires consent of all partners and a duly executed supplementary deed reflecting the revised terms.
