Dispute In Partnership Firm And Recovery Process
24-Jun-2025 (In Civil Law)
Question is 1) the partnership firm is registered but reconstituted many times. 2) After reconstituting firm and deed not INTIMATED to REGISTRAR 3) one partner file a case against a another partner for forgery and cheating in the same firm and matter is subjudice 5) There are two partner facing charges out of four partner 6) can the two who are facing charges can file recovery suit against third party in the firm name....without the CONSENT FROM OTHER PARTNER ......and without there knowledge. Please guide mam about there legal credibility against third party..
1. It is important to verify who the registered partners are, as the reconstituted deeds have not been submitted to the Registrar.
2. Only registered partners have the legal right to initiate a suit against a third party, so it is essential to confirm whether the partners intending to file the recovery suit are officially registered.
3. If all partners are registered but only two out of them wish to file the recovery suit, they would require either the consent or authorization of the remaining partner(s), or at least a majority decision to proceed on behalf of the firm.
It would be advisable to consult an advocate with all relevant documents for a clearer and more accurate assessment of your case.
As an advocate,
Even though the partnership firm was initially registered, the repeated reconstitutions not being intimated to the Registrar significantly undermine its legal standing, especially concerning external dealings. Under the Indian Partnership Act, 1932, particularly Section 63, any change in the constitution of a registered firm, such as the admission or retirement of partners, must be promptly notified to the Registrar of Firms. Failure to do so renders these unregistered changes officially unrecognized, meaning the firm's recorded constitution at the Registrar's office might not reflect its actual current composition. This non-compliance is crucial because Section 69 of the Act, which deals with the effect of non-registration, can bar an unregistered firm or its partners from enforcing rights arising from a contract in a court of law against a third party. While the initial registration provides some legal recognition, the subsequent unregistered reconstitutions effectively place the firm in a legally ambiguous position for any actions taken under its current, but unregistered, structure.
Given the existing legal dispute, with two partners facing serious charges of forgery and cheating that are sub judice, and the unregistered reconstitutions, the legal credibility of the firm, and by extension, the two accused partners, to unilaterally initiate a recovery suit against a third party is highly questionable. For a suit to be properly filed in the firm's name, generally, either all partners or a majority of partners, acting with proper authority derived from the partnership deed or mutual agreement, would need to consent. The action of two partners, embroiled in a personal legal battle related to the firm's integrity, attempting to file a suit without the knowledge or consent of the other partners, especially when internal affairs are already contentious, could easily be challenged by the third party on grounds of lack of proper authorization. This lack of collective consent and the firm's unregistered reconstituted status would likely render any such recovery suit legally vulnerable to dismissal.
