As an advocate, In the scenario described, where a registered partnership firm has undergone multiple reconstitutions without intimation to the Registrar, and two out of four partners are facing sub judice charges of forgery and cheating within the firm, these two partners cannot unilaterally file a recovery suit against a third party in the firm's name without the consent or knowledge of the other partners. Under Indian partnership law, particularly the Indian Partnership Act, 1932, while a registered firm has legal standing, any significant legal action, especially a recovery suit, generally requires the collective decision or express/implied consent of all partners, or at least a majority, unless the partnership deed specifically grants such individual authority. The lack of intimation of reconstitution to the Registrar, coupled with the ongoing legal dispute among partners, further complicates their legal credibility, as the Registrar's records may not reflect the current constitution, potentially raising questions about who legitimately represents the firm in legal proceedings. Therefore, without the consent of the other partners, the two partners facing charges would likely lack the legal credibility to independently pursue a recovery suit against a third party in the firm's name.
