Legal case against my organisation for deviation of company policy

I applied for my part time PG program, under company sponership The university has taken the admission with the condition that after completion of two papers, they will confirm the admission or reject. I take the admission in the course, but my mis-fortunate after two papers, university rejected admission. My company is saying me to pay a damage to damage to the org, as it was the sponsorship program , and university has rejected my admission. But, the company policy I have signed and agreed at the time of admission say” Employees are liable to any damage to the organization if the admission is rejected by university after two courses, in case the score is less than 60% .But, my score is 74%, still admission get rejected, hence as per company policy I am not liable to pay any damage. Off record, they are also agreeing it, but they are forcing me to pay a penalty of 3 lakhs as per policy I am not liable to pay any penalty.can I appeal in court
