Q: How to start a sanitizer business?

ABC Ltd company (Indian Company) has its mobile manufacturing business and running withgood profit. Due to covid 19 situation in India, the company is also interested in manufacturingthe sanitizer and other equipment’s relating to COVID - 19. Advise the company, how the saidbusiness may be started?

They can set up a subsidiary company under the main company with a new brand name for the sanitizer.Depending on the volume of income it can then be hived off into a separate entity under the same parent company as a group company

Q: Registration of Educational Consultancy Firm how to proceed

Sir, I wish to register my Educational Consultancy firm which will work a Guidance centre. Kindly suggest how to register it? Also, clarify whether, I can run such firm along with my Teaching Job (I am working on contract / AdHoc basis at a college)

Hi,You need to decide whether you want to register it as a Partnership/Pvt. Ltd Company or Limited Liability Partnership- only these forms of companies need registration.Each of the above have their own registration process which will include the formation agreement and other certifications. Once you decide which one suits your needs the registration process along with documentation can be commenced.You can start such a venture along side your teaching job provided the contract does not prohibit you from doing any other business or employment and you inform your employer about your intention and he/she does not object it.

Want to sell rhymes and audio speech created by me about garbha sanskar whi ch is already published and selling. Is it comes under copyright act

Copyright protects all original , literary, artistic, dramatic and musical works. Therefore if these rhymes and the audio speech is your own original creation (i.e. not copied or based on someone else's work) it will be protected under Copyright laws

Q: Company seeking to make contract void please advise

a services contract was entered into between two companies on dec. 04, 2012. due to the interest of directors of the company in the contract, which was not disclosed to the board of the company, the company now seeks to make the contract void. the suit is filed in January 2016. is the suit time-barred?

As per the Limitation Act, a suit to cancel or rescind a contract must be filed within 3 years from when the Plaintiff came to know about the fact due to which he wishes to cancel or rescind the contract. Which in the present case would be the knowledge of the fact that the director was personally interested in the contract and he could not have entered into the contract without the prior sanction/permission of the Board of Directors. Therefore the company was within the limitation period if the suit was filed within 3 years of getting to know of the above fact. (For eg. If the Company realised on 1.1.2015 that the contract could not be entered into then the Company could file the suit until 31.12.2018 (3 years from the knowledge))
