Resigned from WTD position can I claim additional salary

05-Mar-2023 (In Corporate Law)

I was appointed as the ‘Whole Time Director’ in addition to my existing appointment as CEO. Copy of the resolution confirming my appointment as ‘Whole Time Director’ for a period of 5 years and with monthly remuneration was given to me. I submitted resignation from DIRECTOR after six months. Thereafter I have also tendered my resignation as CEO Am I elligible for claiming additional remuneration for Directorship in addition to my salary as CEO. Is it a suitable case for filing for recovery of the remuneration committed to me for the services as Whole Time Director.

Dear Sir/Ma'am, the eligibility of additional remuneration for directorship in addition to your salary as a CEO is unlikely and it totally depends on the resolution passed by the Board. If such a benefit is written in the resolution either directly or indirectly, then it is advisable to move forward with legal action.
