Need advise to get myself removed as Director or close out company

Hi All, Me and my other 2 friends formed a private limited company on Oct 2013 which never operated. I checked recently on internet and found it to be active. I believe this is because no steps were taken to close it out. I am going to join a new company in coming days and want to avoid any consequences due to this. Can you please help me with the faster ways to go ahead with removal of my name as Director and also provide information on closing out the company. It would be helpful if you mention time taken for these activities and charges for the proceedings as well (Removal of my name as director and closing out the company) Thank you very much

Hi you have to give your resignation addressed to your company and then you and the company need to file an electronic form with ROC. For closing down the company we would require additional details of your company like balance sheets and annual returns. I am not sure of how much control you have over the other stakeholders in closing the pvt ltd company. You will have to approach a company secretary and submit all the forms for closure of the company. With respect of you moving out of the position of a director and stakeholders, you may resign from the directorship and the company can pass a resolution for the same by approving the same. As long as there are two directors you can easily resign and the rest can decide for closure of the company. You mentioned of no business, then generally you should get a notice from Registrar for removal of name under 248 of Companies act 2013. Alternately, Company can make an application, if for 2 years there has been no business, for obtaining the status of a dormant company under section 455.
