Service provider threatening to pay unfair amount

Hi,we are engaged in online affiliate marketing we are expected to pay around 2 lakhs to a firm which provided certain services to us but we did not get paid for the services which they provided...now they are threating to move to court ,what should i do?
We will ultimately have to fall back on the agreement that you have with that particular entity be it a company or a firm. If you have a contract whose terms favor you then you may not have to pay. but if not you will have to.

The services that they provided if you did not get paid for it then definitely you have your own counter claim on the same.Therefore you can go ahead and take civil and criminal remedy against them by taking immediate action.Therefore if they are harassing and torturing you the in such situation an immediate criminal complaint can be registered and other remedy can be availed as well.
