Advocate Dhruv Suri co-heads PSA's practice group on start-ups, PE/VCs (known as Victus) as well as the Competition Law practice group.

Specifically with respect to start-ups, the group aims to provide cost-effective legal advice across industries and practice areas. His role is not just limited to giving advice on legal aspects of the business such as choice of entity, intellectual property, contracts, M&A, raising capital, executive compensation, dispute resolution, compliance, etc., but to be available for any discussion whatsoever. These may range from reviewing business strategies, giving inputs on presentations to be made to potential investors, valuations, etc. (and sometimes also on food, sports and politics). To suit the start up model, PSA offers creative fee structures and aims to handhold such ventures from the day they are merely an idea and nourish them with legal expertise as they evolve and grow.

Advocate Suri also advises financial investors (PE/VC funds, angel and seed investors, FIIs) on structuring their investments in India through trusts, limited liability partnerships, companies or other suitable entity structures, including advice on the Indian regulatory and tax (onshore and offshore) regime, as well as assist them in conducting due diligence of their portfolio companies across a range of sectors and practice areas.

As the co-head PSA's Competition Law practice group, he represent clients before the Competition Commission of India as well as other judicial and quasi-judicial forums on complex competition law issues. His work often involves reviewing contracts and commercial arrangements to assess compliance with competition laws as well as assisting clients with the necessary merger control filings.

In addition to the above, Dhruv is also actively involved with the firm's M&A and Dispute Resolution practice groups.

Q: Scammed by a person for exchanging dollar on neteller e-wallet

I made a transaction to a person via Paytm wallet for exchange of dollar on my neteller e-wallet and now he is not giving me neteller money or my payment back I threatened him that I will sue you in court but he said I cannot do anything since purchasing dollar is illegal in India. So please help me

You cannot purchase foreign exchange over any e-wallet. It has to be purchased ONLY from government registered agents. You should contact Paytm and inform them how this person is using their e-wallet to solicit illegal business and then meet a lawyer to assess if you can file a case for Cheating against this person.



Q: Product are being sold under same trademark by foreign co. in India

There is a Japanese company selling products in India with a brand which is registered under my name in India. Products belong to same class which I own the Trademark in. Is it legal if they keep on using the trademark without my permission r being an owner of trademark in India, I can sue them?

Yes, you can. You need to start by sending them a cease & desist notice and seek information on total sale and revenue. Typically they will refrain at that stage. If not, you need to pursue legal action in court. That said, ensure you have done your diligence to check whether their usage of the trademark predates yours and they have a legitimate claim to state that you, in fact, infringed their trademark.



Q: Want to know can high court ban from serving hookah

Hi. I would like to know if the state/high Courts can ban serving on hookah again after the Supreme Courts Lifted the ban on serving hookah in restuarants .. Thank you

Supreme Court allowed smoking Hookahs in private smoking spaces and not in public spaces of a restaurant. That can still be banned.



Q: Want to start online business what are the legal requirements

I want to start my online business.But I am not sure from where should i start for legal procedures. I want to get all the rights of software, get registered, terms and conditions for users with safety of both customers and company kept in mind. As company may grow in 6 to 12 months, what are the legal steps to be followed. I would request any experienced legal advisor to guide me all throughout the way.

A lot will depend upon the industry you are looking to start your business in. To begin with, if you have a co-founder, always advisable to have a Founders Agreement in place. Register your key trademarks. Have exhaustive terms and conditions of use on your website and app. Evaluate compliance with different labour laws if you will be hiring multiple employees. Get standard NDAs and employment contracts in place. Have a privacy policy on the website, especially if you plan to integrate any payment gateway. If you have engaged an outside company for developing software, execute a Services Agreement with them to ensure you own all corresponding intellectual property.



Q: Broker company executed trades without my consent loss of huge amount

I have a trading account with a stock broker company but recently I have discovered that many trades have been executed in my account without my consent and willingness. Moreover I have lost around Rs. 1 crore due to such illegal transactions. Please suggest can I file a consumer complaint or something else.
